Terms & Conditions

These Terms and Conditions (“Terms”) govern the sale of products and services by Pentacore (“Seller,” “we,” or “us”) to any purchaser (“Buyer”). By placing an order, Buyer agrees to these Terms unless otherwise agreed to in writing by Pentacore.

 

 

1. Quotes and Orders

 

All quotations are valid for [30] days unless otherwise stated. Orders are subject to acceptance by Pentacore. No order is binding until confirmed in writing.

 

 

2. Pricing

 

Prices are subject to change without notice prior to order acceptance. Unless otherwise stated, prices do not include freight, taxes, duties, tariffs, or additional fees. Buyer is responsible for all applicable charges.

 

 

3. Payment Terms

 

Payment terms will be specified on the quotation or invoice. Late payments may be subject to interest at the maximum rate allowed by law. Pentacore reserves the right to suspend production or shipments for overdue accounts.

 

 

4. Lead Times

 

Lead times are estimates only and are not guaranteed. Pentacore is not liable for delays caused by material availability, production constraints, carrier issues, or events beyond our control.

 

 

5. Shipping and Risk of Loss

 

Unless otherwise agreed in writing, shipments are FOB Seller’s facility. Risk of loss and title pass to Buyer upon shipment. Buyer is responsible for inspecting products upon delivery and noting any damage on the carrier’s delivery receipt.

 

 

6. Returns and Claims

 

Products are manufactured or prepared to order and are non-returnable unless otherwise approved in writing. Claims for shortages or defects must be submitted within 5 business days of receipt. Freight damage claims must follow Pentacore’s Shipping Policy.

 

 

7. Product Use and Suitability

 

Buyer is solely responsible for determining the suitability of Pentacore products for their intended application. Any technical guidance provided is for informational purposes only and does not constitute a warranty.

 

 

8. Limited Warranty

 

Pentacore warrants that products will conform to agreed specifications at the time of shipment. This warranty does not cover misuse, improper installation, modification, or normal wear. No other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are provided.

 

 

9. Limitation of Liability

 

Pentacore shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits or downtime. Pentacore’s total liability shall not exceed the purchase price of the products giving rise to the claim.

 

 

10. Intellectual Property

 

All drawings, specifications, designs, and technical data provided by Pentacore remain the property of Pentacore and may not be reproduced or shared without written consent.

 

 

11. Confidentiality

 

Both parties agree to keep confidential any non-public business, technical, or commercial information disclosed during the course of the relationship.

 

 

12. Force Majeure

 

Pentacore is not liable for failure or delay in performance due to events beyond reasonable control, including acts of God, labor disruptions, material shortages, transportation delays, or government actions.

 

 

13. Governing Law

 

These Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles.

 

 

14. Entire Agreement

 

These Terms constitute the entire agreement between the parties unless superseded by a written agreement signed by both parties. Any conflicting terms proposed by Buyer are rejected unless expressly accepted in writing.
